A Registered Agent is the legal point of contact for a business entity, or the owner(s) of a trade name, for the receipt of service of process and notices from the Secretary of State.

Service of Process is the procedure by which notice of initial legal action is delivered to an individual or business entity being served.

Appointment as Registered Agent neither confers nor implies:

  • authority to sign documents on behalf of a business entity or the owner(s) of a trade name.
  • liability for business conducted by the business entity, or trade name owner(s) as the trade name.

The only qualification to be a registered agent is that the agent has a street and mailing address located in Vermont.  A registered agent may be either:

  • An individual person. (to include a trade name (DBA) owner)
  • A business entity (i.e. not a trade name) that is registered and active with this office. Please verify business status via our business search.

      

Change of Registered Agent or Agent Addresses

Change of Registered Agent or Agent Address is used to update one or more of the following on your business or nonprofit registration:

  1. The registered agent.
  2. The physical address of your registered agent (a.k.a. the Registered Office).
  3. The mailing address of your registered agent. 
  4. The email address of your registered agent.

To file a Change of Registered Agent or Office, you must do so by mail with the form provided at the bottom of this page.

  

Agent Resignations

If you are currently on record with the Office of the Secretary of State as the registered agent of a business, nonprofit, or trade name and no longer choose to be, you may either:

  1. Resign directly with the business or nonprofit entity, requesting that the entity replace you by filing a Change of Registered Agent or Office (as explained above),

    or

  2. The registered agent may file a Statement of Resignation directly to the Office of the Secretary of State to be removed as registered agent on public record:

Please note that (1) agent resignations are effective by statute on the 31st day after the resignation is received by Secretary of State, and (2) should a new registered agent NOT be appointed within this time, the business will lose its Good Standing, resulting in a "Terminated" status, until such time as a new agent is appointed.
