full, printed, and returned, with the appropriate fee, to the Vermont Secretary of
State's Office, 128 State Street, Drawer 09, Montpelier, VT
05633-1101. Because a signature and fee is required we are not able
to accept filings on-line. We suggest that you consult a qualified attorney, a certified public
accountant, or other field related experts if you have any
questions or concerns about these filings.

- Articles
of Incorporation
($75.00)
If your organization wishes to obtain tax-exempt
status from the IRS, be sure to include the language required by them in
the original articles of incorporation. This will not guarantee
exemption, but failure to include such provisions will cause delay. For
the IRS to recognize an organizations exemption it must be organized as a
trust, a corporation, or an un-incorporated association.

Articles of Dissolution (No fee)
Forms for foreign
(out-of-state and international) organizations.
Biennial Report ($15.00)
Each non-profit corporation is required to file an initial biennial report the
year following incorporation and then every two years thereafter. (11B
V.S.A. §16.22) Failing to file this report will result in termination
of its charter. Cooperatives chartered as for-profit corporations
are required to file annual reports at the close of each fiscal year.
