There are a few reasons why a cessation is filed -
(1)when the business stops; (2)is sold to a new owner; (3)the business name
or its structure is changing; (4)a new owner is added; or (5)an existing owner
departs. A "complete" cessation is filed for all of these reasons except
one - when one owner departs- a "partial" cessation can be filed.
This is done by the remaining owner(s) when the departing owner leaves.
Under this "partial" cessation the business can continue on without interruption.
All of the other foregoing reasons require a "complete" cessation.
All of the registered owners must be listed on a complete cessation.
PARTIAL CESSATION is being filed to remove the name
of an existing owner.
COMPLETE CESSATION is being filed because:
The business has ceased operation; The business name is being changed;
Is changing its structure; A new owner is being added to the existing business;
Business has been sold and will not continue under this name;
Date of this cessation:
COMPLETE cessation must include the names and address of ALL of the owners , as set forth on the original tradename registration.
Certificate may be sworn to and filed by a surviving
partner, member of such association, officer of such corporation, or person so
doing business, his executor or administrator.
