The Corporate Name must have one of these suffixes: Corporation, Incorporated, Company, or Limited. Use of "cooperative" can only be used if articles are being filed as a cooperative under Title 11.

Professional corporations must contain the words professional corporation, professional association, limited, or service corporation, or the abbreviation P.C, P.A, LTD, or S.C.

The name that your organization wishes to use may already be taken. You can do your own name check in the State of Vermont's Database. You can also search the U.S. Government's National Trademark /Patent directory. Please remember that a name may not be available to you even though you may not see an exact match in our data base!! So "don't" begin using a name until we conduct the search and give you the go ahead.

If your FOREIGN corporation/llc name does not satisfy the requirements for name availability the foreign corporation/llc may use an available trade name to transact business in this state by filing a resolution by its board, certified by its secretary adopting the trade name. The form Trade Name registration must also be completed.

A foreign corporation that does not want to qualify, but wishes to register its corporate name, may do so by filing the form to register a foreign corporate name. This registration is good only for the current calendar year.
