Limited Partnership Filings

The Limited Partnership is formed by one or more general partners and one or more limited partners. The application for domestic lp must include (1) the name of the lp, (2) the principal address of the office and the name and address of the agent for service of process, (3) the name and business address of each general partner, (4) the name and place of residence of each limited partner and the amount of cash and description of and the agreed value of other property contributed by each limited partner, (5) the latest date upon which the lp is to dissolve and (6) other matters of importance. The application for foreign lp must include (1) the name of the foreign lp, (2) the state and date of its formation, (3) the name and address of each general partner, (4) name and address of its registered agent, (7) the address of the office at which is kept a list of the names and addresses of the limited partners and their capital contributions. As with the others, the application must be signed and filed with fee attached ($50.00). The lp remains on file until cancelled by the partnership. Statute T.11,Ch.023
